These Terms & Conditions (“Terms”) govern purchases, registrations, enrollments, bookings, subscriptions, and use of products and services offered by Power of M Consulting, LLC (“Power of M,” “we,” “us,” or “our”).
By purchasing a product or service, submitting payment, enrolling in a program, registering for an event, executing a Statement of Work (“SOW”) or other agreement that incorporates these Terms, or affirmatively accepting these Terms during checkout, you (“Client,” “Customer,” “Participant,” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms.
If a separate SOW, proposal, enrollment agreement, speaking agreement, facilitation agreement, or other written contract applies to your purchase, that agreement and these Terms will be read together. If there is a direct conflict, the terms of the specific written agreement will control for that engagement.
1PRODUCTS AND SERVICES COVERED
These Terms apply to products and services offered by Power of M Consulting, LLC, including, but not limited to:
- Books, e-books, workbooks, guides, templates, assessments, and other physical or digital resources;
- Challenges, workshops, webinars, masterclasses, courses, and digital learning experiences;
- M-PACT Institute and other cohort-based or group programs;
- Individual and group coaching;
- Leadership development and business consulting;
- M.A.P. Funnel services, including funnel strategy, design, copy, implementation, and related services;
- Power of M Hosted Funnel Access and other recurring funnel services;
- Training and facilitation;
- Keynotes, speaking engagements, panels, and presentations;
- Digital recordings and replay access;
- Memberships or subscriptions;
- And other products, programs, or professional services offered by Power of M.
Specific deliverables, schedules, fees, and additional conditions may be established in the applicable product description, registration page, invoice, SOW, proposal, enrollment agreement, or other written agreement.
2PRICING AND PAYMENT
Prices are stated in U.S. dollars unless otherwise specified.
Payment may be required in full at purchase or according to an approved payment schedule. The applicable checkout page, invoice, proposal, or SOW will identify the payment requirements for the specific product or service.
By providing a payment method, you represent that you are authorized to use that payment method and authorize Power of M and its payment processor to charge amounts that you have agreed to pay.
For installment plans or recurring services, you authorize recurring charges according to the billing schedule disclosed at purchase.
A payment plan represents a method of paying the full agreed purchase price and does not, by itself, create a month-to-month service or permit cancellation of the remaining contractual balance unless expressly stated otherwise.
Power of M reserves the right to suspend services, program access, hosted services, or delivery of outstanding work when an account becomes past due.
Applicable taxes may be added where required by law.
3FAILED AND PAST-DUE PAYMENTS
If a scheduled payment is declined or otherwise unsuccessful, Power of M may attempt to process the payment again and may contact you to obtain an updated payment method.
Access to programs, digital resources, coaching, consulting, funnel services, hosting, or other services may be temporarily suspended while an account remains past due.
You remain responsible for amounts legitimately owed under your purchase agreement, subject to applicable law.
4REFUNDS, CANCELLATIONS, AND TRANSFERS
Refund and cancellation terms may vary according to the type of product or service purchased and will be disclosed when additional or different terms apply.
Digital Products and Downloadable Materials
Due to the immediate-access nature of digital products, e-books, downloadable resources, templates, recordings, and similar materials, purchases are generally final and non-refundable once access or delivery has been provided, except where otherwise required by law.
Physical Products
Returns or replacements for physical products will be handled according to the return policy communicated with the product purchase and applicable law. Customers should promptly report products received damaged, defective, or incorrectly fulfilled.
Workshops, Challenges, Classes, and Events
Registration fees are generally non-refundable unless otherwise stated on the applicable registration or sales page.
When permitted by Power of M, registration may be transferred to another eligible participant or applied to a future offering. Such transfers are not guaranteed and must be approved in writing.
If Power of M cancels an event without providing a reasonable substitute, rescheduled date, credit, or comparable alternative, affected participants will be offered an appropriate remedy.
Coaching, Consulting, and Professional Services
Because professional-service capacity is reserved and preparation may begin before the first scheduled session, deposits and payments may become non-refundable as specified in the applicable SOW, proposal, enrollment agreement, or service agreement.
Cancellation of an engagement does not automatically eliminate payment obligations for services already performed, work already produced, expenses incurred, or contractual commitments previously agreed upon.
Cohort and Group Programs
Enrollment in cohort-based programs reserves limited program capacity. Applicable withdrawal, transfer, deferral, and refund provisions may be further specified in the enrollment agreement or sales materials for that program.
5COACHING, CONSULTING, AND CLIENT RESPONSIBILITY
Power of M provides education, coaching, leadership development, strategy, facilitation, and business consulting.
Our role is to provide guidance, frameworks, tools, questions, strategy, education, and professional support. The Client remains responsible for decisions, implementation, actions, and results.
Participation does not establish an attorney-client, accountant-client, therapist-patient, financial-advisor, employment, partnership, or fiduciary relationship.
Power of M does not provide legal, tax, accounting, investment, medical, or mental-health advice unless expressly stated otherwise and provided by an appropriately licensed professional.
Clients should consult qualified professionals regarding matters requiring specialized professional advice.
6NO GUARANTEE OF RESULTS
Power of M is committed to providing thoughtful, high-quality services and resources; however, individual outcomes depend upon numerous factors outside our control.
We do not guarantee:
- Business formation or business success;
- Revenue, sales, profits, leads, or customers;
- Employment, promotion, career advancement, or compensation;
- Funding or financing;
- Funnel traffic, conversion rates, or sales performance;
- Specific personal or professional outcomes; or
- Results from coaching, consulting, training, or educational programs.
Testimonials, case studies, examples, and client stories illustrate individual experiences and are not guarantees that another client will achieve the same or similar results.
7M.A.P. FUNNEL SERVICES
M.A.P. Funnel engagements may include strategy, messaging, funnel planning, page design, copy development, integrations, email sequences, automation, testing, and other services as specified in the applicable SOW.
The M.A.P. process may include work related to Message, Audience, and Pathway, along with other Power of M methodologies and frameworks.
Client Responsibilities
The Client is responsible for providing requested information and materials in a timely manner, including, when applicable:
- Logos and brand guidelines;
- Images and photographs;
- Product or service information;
- Pricing;
- Testimonials;
- Business and contact information;
- Lead magnets;
- Domain information;
- Scheduling links;
- Email and CRM information;
- Payment processor information;
- Required legal policies and disclosures; and
- Any other assets necessary to complete the agreed work.
Client delays in providing information, approvals, access, or assets may extend the project timeline.
Accuracy and Legal Compliance
The Client is responsible for the accuracy, legality, and authorization of materials supplied to Power of M and for ensuring that the Client's products, services, advertising claims, privacy practices, and business activities comply with applicable laws and regulations.
Revisions and Scope
The number of revisions included in an engagement will be specified in the applicable package or SOW.
Requests beyond the agreed scope or included revision rounds may require additional fees and/or a revised SOW.
Approvals
Client approval of copy, design, functionality, or a completed project stage constitutes authorization for Power of M to proceed to the next stage.
Changes requested after approval may constitute additional work.
8POWER OF M HOSTED FUNNEL ACCESS
Certain M.A.P. Funnel services may be hosted through technology accounts maintained or administered by Power of M.
Unless otherwise stated in writing, all M.A.P. Funnel builds require an initial three-month Power of M Hosted Funnel Access term.
The current initial Hosted Funnel Access fee is $300 for the first three months.
After the initial three-month term, Hosted Funnel Access will continue at the then-applicable monthly rate, currently $100 per month, unless canceled or transitioned in accordance with these Terms and the applicable service agreement.
By purchasing Hosted Funnel Access and providing a payment method, the Client authorizes recurring monthly charges following the initial term until cancellation becomes effective.
Hosted Funnel Access Includes
Hosted Funnel Access generally includes:
- Continued hosting of the completed funnel within the applicable Power of M platform environment;
- Continued availability of the existing published funnel;
- Platform infrastructure necessary to maintain the existing funnel; and
- Existing approved integrations and automations to the extent supported by the applicable platform and service arrangement.
Hosted Funnel Access does not, unless expressly included in another service plan, include:
- New funnel pages;
- Redesigns;
- Copywriting changes;
- New email sequences;
- New integrations or automations;
- Ongoing strategy;
- Analytics consulting;
- Routine content changes; or
- Other funnel-development or maintenance services.
Such services may be purchased separately or through an applicable Funnel Care or Funnel Growth service.
Cancellation After Initial Term
Following completion of the required three-month initial term, Hosted Funnel Access may be canceled according to the cancellation procedure communicated by Power of M.
Cancellation stops future hosting charges after the applicable cancellation date but does not create a refund for prior hosting periods.
Clients should arrange any desired transition before hosted access terminates.
Transition From Power of M Hosting
When Hosted Funnel Access ends, Power of M will reasonably cooperate with the Client to transition eligible Client-owned assets where technically possible.
Transition or migration work beyond the included service scope may be subject to additional fees.
Power of M does not guarantee that proprietary platform functionality, third-party software, account-level configurations, templates, licensed assets, or functionality dependent upon Power of M's platform account can be transferred to another platform or account.
9OWNERSHIP AND INTELLECTUAL PROPERTY
Client Materials
Clients retain ownership of original materials they provide to Power of M, including their trademarks, logos, photographs, original copy, customer information, proprietary business information, and other Client-created assets.
Client-Specific Deliverables
Upon full payment of all applicable fees, the Client receives the ownership or usage rights specified in the applicable SOW for final, approved Client-specific deliverables.
Power of M Intellectual Property
Power of M retains ownership of its pre-existing and independently developed intellectual property, including, without limitation:
- Power of M methodologies and frameworks;
- The M.A.P. methodology and related processes;
- M-PACT curriculum and materials;
- Training frameworks;
- Coaching tools;
- Assessments;
- Templates;
- Worksheets;
- Processes;
- Course materials;
- Presentations;
- Proprietary prompts and systems;
- Reusable funnel structures;
- Business methods; and
- Other materials created for general or repeated use.
Purchasing a Power of M product or service does not transfer ownership of Power of M's underlying intellectual property.
Clients receive only the license or usage rights reasonably necessary to use the materials for the purposes for which they were provided.
Unless expressly authorized in writing, Power of M materials may not be reproduced, resold, sublicensed, distributed, taught, published, uploaded to another commercial program, or represented as the Client's proprietary methodology.
10CONFIDENTIALITY
Power of M recognizes that coaching, consulting, funnel strategy, and business-development engagements may involve confidential information.
We will use reasonable care to protect confidential Client information and will not intentionally disclose confidential business or personal information except:
- With the Client's permission;
- As reasonably necessary to deliver the contracted services;
- To service providers operating under appropriate obligations;
- When required by law; or
- When reasonably necessary to protect legal rights or safety.
Clients participating in group programs may also receive confidential information from other participants and are expected to respect the privacy and confidentiality of fellow participants.
Power of M cannot guarantee that another participant will maintain confidentiality and is not responsible for unauthorized disclosures by other participants.
11RECORDINGS, PHOTOGRAPHS, AND TESTIMONIALS
Certain virtual or in-person educational sessions may be recorded when participants are notified that recording will occur.
Recordings may be provided to registered participants or used internally as disclosed for the applicable program.
Participation in a paid product or service does not automatically grant Power of M unrestricted permission to use a Client's name, image, likeness, testimonial, confidential information, or personal story for marketing purposes.
When Power of M wishes to feature identifiable Client content for promotional purposes, appropriate permission will be obtained unless the material was voluntarily submitted under terms that clearly authorized such use.
12SPEAKING, TRAINING, AND FACILITATION
Speaking engagements, workshops, corporate training, and facilitation services may require a separate agreement or SOW specifying:
- Engagement date and time;
- Program length;
- Audience;
- Format and location;
- Compensation;
- Deposit and payment schedule;
- Travel and lodging responsibilities;
- Cancellation or rescheduling terms;
- Recording or rebroadcast rights; and
- Other event requirements.
Unless otherwise agreed in writing, Power of M retains intellectual-property rights in its presentation content, frameworks, exercises, slides, handouts, and training materials.
Booking an engagement does not automatically grant the Client the right to record, reproduce, sell, broadcast, livestream, distribute, or reuse Power of M's presentation or training materials.
13SCHEDULING, ATTENDANCE, AND RESCHEDULING
Clients and participants are responsible for attending scheduled sessions and events.
Specific rescheduling and missed-session policies may be established for individual coaching engagements, programs, or professional services.
Failure to attend a scheduled session does not automatically entitle the participant to a refund, replacement session, credit, or extension.
Power of M will make reasonable efforts to communicate material schedule changes.
14THIRD-PARTY TECHNOLOGY AND SERVICES
Power of M may use third-party providers and platforms in delivering products and services, including payment processors, funnel platforms, videoconferencing services, scheduling systems, email providers, CRM systems, artificial-intelligence tools, hosting providers, and other technology.
These services may include providers such as Stripe, ClickFunnels, Zoom, and other platforms selected from time to time.
Power of M does not control third-party platforms and cannot guarantee uninterrupted availability, continued functionality, pricing, security, or compatibility.
Power of M is not responsible for outages, discontinued features, account restrictions, platform changes, or other circumstances caused by third-party providers that are outside Power of M's reasonable control.
When a Client maintains a separate third-party account, the Client is responsible for that account's fees, terms, credentials, and compliance requirements unless otherwise agreed in writing.
15ARTIFICIAL INTELLIGENCE AND TECHNOLOGY-ASSISTED SERVICES
Power of M may use artificial intelligence, automation, and other technology-assisted tools to support research, brainstorming, drafting, analysis, design, administrative functions, or service delivery.
Power of M remains responsible for exercising professional judgment over the services it provides but does not represent that every deliverable is produced exclusively through manual processes.
Clients remain responsible for reviewing and approving final Client-facing materials, business claims, legal language, financial information, and other content requiring Client verification.
Confidential information will be handled in accordance with Power of M's applicable privacy and confidentiality practices.
16CUSTOMER AND CONTACT DATA
Where Power of M provides funnel or technology services that collect information from the Client's prospects or customers, the Client remains responsible for establishing appropriate privacy notices, marketing permissions, consent practices, and legally required disclosures.
Client customer/contact data remains the Client's data, subject to the terms and technical limitations of applicable third-party platforms.
Power of M may access such data only as reasonably necessary to provide contracted services, troubleshoot systems, maintain applicable hosting, or as otherwise authorized by the Client.
17CHARGEBACKS AND PAYMENT DISPUTES
Customers are encouraged to contact Power of M promptly regarding billing questions or service concerns before initiating a chargeback or payment dispute so that we have an opportunity to investigate and resolve the matter.
Initiating a payment dispute does not automatically terminate contractual payment obligations or entitle a Customer to retain products or services for which payment has been reversed.
Power of M reserves the right to provide applicable contracts, invoices, checkout records, acceptance records, communications, delivery records, and other relevant documentation to payment processors or financial institutions when responding to a payment dispute.
Nothing in this section limits rights available to consumers under applicable law or card-network rules.
18LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Power of M Consulting, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of its products or services.
To the fullest extent permitted by law, Power of M's aggregate liability arising from a particular product or service will not exceed the amount actually paid by the Client to Power of M for the product or service giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
19FORCE MAJEURE
Power of M will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including severe weather, natural disasters, widespread technology or utility failures, governmental actions, labor disruptions, transportation interruptions, public-health emergencies, serious illness or emergency, or similar events.
When reasonably possible, Power of M will communicate affected scheduling or delivery changes and work toward an appropriate alternative.
20PROFESSIONAL CONDUCT AND RIGHT TO DISCONTINUE SERVICES
Power of M is committed to providing a professional, respectful, and productive environment.
We reserve the right to discontinue or restrict participation when a Client or participant engages in threatening, abusive, discriminatory, harassing, unlawful, fraudulent, or materially disruptive conduct.
Financial obligations and refunds in such circumstances will be determined according to the applicable agreement, services already provided, and applicable law.
21GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and transactions governed by them will be interpreted under the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Before commencing formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through direct written communication.
If a dispute cannot be resolved informally, the parties may pursue remedies available under applicable law and any additional dispute-resolution procedure established in the applicable SOW or service agreement.
Nothing in these Terms waives any statutory right or remedy that cannot lawfully be waived.
22SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
23NO WAIVER
Failure by Power of M to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or our right to enforce it in the future.
24CHANGES TO THESE TERMS
Power of M may update these Terms periodically to reflect changes in products, services, technology, business practices, or legal requirements.
The effective or “Last Updated” date will identify the current version.
Material changes will apply prospectively unless otherwise permitted by law. Terms applicable to an existing fixed-term engagement will not be materially altered retroactively solely by posting a new version unless the Client agrees or applicable law permits the change.
25ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You consent to receiving transaction-related communications electronically, including invoices, receipts, service notices, program information, and other communications reasonably necessary to fulfill your purchase.
Marketing communications are subject to applicable consent and unsubscribe requirements.
Checking an acceptance box, clicking an acceptance button, submitting an order after being presented with these Terms, electronically signing an agreement incorporating these Terms, or otherwise affirmatively accepting these Terms constitutes your electronic agreement to them.
26ENTIRE AGREEMENT
These Terms, together with the applicable SOW, proposal, invoice, enrollment agreement, order form, product description, or other written agreement incorporated into the transaction, constitute the agreement between the parties concerning the applicable purchase or engagement.
Representations not contained in the applicable written agreements do not modify these Terms unless confirmed in writing by an authorized representative of Power of M.
